1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and FHBK Technologies, Inc. ("Blocksee," "we," "us," or "our"), a company incorporated in the United States, governing your access to and use of the Blocksee platform, website, APIs, and all related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

2. Description of Service

Blocksee provides a document and agreement management platform that offers:

• Blockchain-verified document signing — cryptographic hashes of signed documents are recorded on public blockchains to create tamper-proof audit trails.
• Terms & Conditions acceptance tracking — version-specific consent records anchored on-chain for regulatory compliance.
• File authentication — upload and verify the integrity of documents using blockchain-anchored fingerprints.
• Proof of Understanding — AI-powered comprehension verification (key-point confirmation and quizzes) to demonstrate informed consent.
• AI-assisted features — including automatic field placement and content extraction for document preparation.
• Inline KYC verification — identity verification integrated directly into the signing workflow.

3. Account Registration

To use certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You must notify us immediately of any unauthorized use of your account. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Pricing and Payment

Blocksee operates on a pay-per-document model. You are charged for each document processed through the Service according to the pricing displayed at the time of use. Prices are subject to change with reasonable notice.

All fees are non-refundable except as required by applicable law or as expressly stated in these Terms. You are responsible for all applicable taxes.

5. User Obligations

You agree to:

• Use the Service only for lawful purposes and in accordance with these Terms.
• Not upload or transmit any content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable.
• Not attempt to gain unauthorized access to any part of the Service, other accounts, or systems connected to the Service.
• Not interfere with or disrupt the integrity or performance of the Service.
• Not reverse engineer, decompile, or disassemble any part of the Service.
• Not use the Service to facilitate fraud or misrepresent the authenticity of any document.

6. Intellectual Property

The Service and its original content (excluding content provided by users), features, and functionality are and will remain the exclusive property of FHBK Technologies, Inc. and its licensors. The Service is protected by copyright, trademark, and other laws.

You retain ownership of all documents and content you upload to the Service. By uploading content, you grant us a limited license to process, store, and display it solely for the purpose of providing the Service to you.

7. Blockchain Records

You acknowledge that blockchain transactions are irreversible. Once a document hash or consent record is anchored on a public blockchain, it cannot be modified or deleted. Blocksee does not control the underlying blockchain networks and is not responsible for their availability or performance.

Blockchain records serve as independent, third-party verification of document integrity and signing events. They do not, by themselves, constitute legal proof of the validity or enforceability of any agreement.

8. AI-Powered Features

Certain features of the Service use artificial intelligence, including but not limited to automatic field placement, content extraction, key-point generation, and quiz generation. AI-generated outputs are provided as-is and may contain errors or inaccuracies.

You are solely responsible for reviewing and verifying all AI-generated content before relying on it. Blocksee makes no warranties regarding the accuracy, completeness, or fitness for purpose of AI-generated outputs.

9. Zero-Custody Mode

When using zero-custody mode, your documents are processed entirely in your browser and never transmitted to our servers. Only a cryptographic hash reaches the blockchain. In this mode, we have no ability to recover your documents if lost. You are solely responsible for maintaining your own copies.

10. Limitation of Liability

To the maximum extent permitted by applicable law, FHBK Technologies, Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to your use of the Service.

Our total liability for any claim arising under these Terms shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Blocksee does not warrant that the Service will be uninterrupted, error-free, or secure, or that any defects will be corrected. Blocksee is not a law firm and does not provide legal advice. The Service does not constitute legal counsel regarding the enforceability of any document or agreement.

12. Indemnification

You agree to indemnify, defend, and hold harmless FHBK Technologies, Inc. and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service or violation of these Terms.

13. Termination

We may terminate or suspend your access to the Service immediately, without prior notice, for any reason, including breach of these Terms. Upon termination, your right to use the Service ceases immediately.

Blockchain-anchored records will persist independently of your account status, as they exist on public, decentralized networks outside of our control.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Delaware.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by updating the "Last updated" date at the top of this page. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
